We believe software tools should serve founders — not trap them.
We believe payment should follow value delivered, not automated renewals.
We believe technical complexity is not a license to extract.
This Charter is binding on our platform, our agents (automated or human), and any successor entity.
1.1 Every application built on our platform is the sole property of the founder who initiated it.
1.2 At any time, for any reason, the founder may download the complete source code, database schemas, environment configuration files, and deployment scripts.
1.3 No proprietary runtime, library, or lock‑in mechanism shall be embedded. All generated code shall be licensed under MIT or Apache 2.0.
1.4 Upon request, we will provide free migration assistance to another hosting provider within 30 days.
2.1 No recurring subscription fees.
2.2 Upfront fee (if any) shall be itemized: compute costs, API calls, human review time — not speculative "platform access."
2.3 Primary compensation shall be revenue share or equity, subject to a plain‑English agreement that includes a cap on total share, a sunset clause, and zero payment obligation until the founder's business generates revenue.
2.4 If the founder's business earns $0 in any given quarter, we earn $0 for that quarter.
3.1 Every task performed by our automated agents (code generation, deployment, monitoring, updates) shall be logged with timestamp, files changed, tests run, and resources consumed.
3.2 The founder may view the full audit log at any time, without additional payment.
3.3 If a logged task is flagged by the founder as fraudulent (e.g., marked complete but not actually deployed), we shall immediately freeze any payment obligation related to that task, investigate within 48 hours, and if confirmed, credit the founder 200% of the task's claimed value.
By accepting a founder's project, we agree to the following, which is enforceable in binding arbitration (founder's choice of venue):
"We will not profit from your confusion. You may leave anytime with your full codebase. We earn only when you earn. If we fail to deliver what we promised, you owe nothing — and we will pay for your first month of alternative hosting."
4.1 Breach of any term in Articles 1–3 constitutes a material failure.
4.2 Remedy for breach: Founder receives a full refund of any upfront fees paid,
5.1 This Charter may only be amended with the explicit written consent of a simple majority of active founders on the platform at the time of amendment.
5.2 Any amendment that weakens founder protections is void ab initio.
